Our Terms of Service outlines our client agreement, setting clear guidelines for deliverables, payments, and intellectual property rights. This protects both parties and prevents misunderstandings in creative projects.
Service Scope

These General Terms and Conditions (hereinafter "Terms") govern all commercial transactions, service agreements, and supply contracts between COINCAL – Componentes para Calçado, Lda., NIF 505 573 806 (hereinafter "COINCAL"), and its professional B2B clients (hereinafter "The Client"). COINCAL is headquartered at: Rua de Santo André nº 33, 4610-312, Friande, Felgueiras, Portugal.

Product Development and Tooling

All technical developments, lasts, and molds produced during the prototyping phase remain the exclusive industrial property of COINCAL unless a specific "Tooling Ownership Transfer" has been agreed upon and paid for in full by the Client. COINCAL reserves the right to archive or dispose of samples not converted into production orders within 12 months.

Orders and Minimums (MOQ)

A contract is only finalized upon written Order Confirmation from our commercial department. Minimum Order Quantities (MOQ) are established per model and color, based on material availability and industrial efficiency standards. Any cancellation by the Client after the acquisition of raw materials will incur a 100% charge of the material costs already committed.

Pricing and Payment Terms

All prices are quoted in Euros (€) and operate under Incoterms 2020: EXW (Ex-Works), unless otherwise specified. Payments must be made via bank transfer to the IBAN provided on the pro-forma invoice. Failure to meet payment deadlines entitles COINCAL to suspend current production and apply late-payment interest under the terms of Portuguese Decree-Law no. 62/2013 (updated for 2026).

Delivery and Transport

While COINCAL strives for precision in lead times, delivery dates are indicative. COINCAL is not liable for logistics delays, customs clearance issues, or disruptions in the global supply chain. The risk of goods passes to the Client as soon as the products leave our loading dock in Felgueiras.

Intellectual Property & Indemnity

The Client holds sole responsibility for ensuring that designs and brand elements provided to COINCAL do not infringe on third-party patents or trademarks. The Client shall indemnify COINCAL against any legal action arising from intellectual property disputes related to Client-specific designs.

Sustainability and DPP Compliance

In accordance with the 2026 EU Ecodesign for Sustainable Products Regulation (ESPR), COINCAL ensures traceability of the manufacturing process. We provide the necessary technical data for the Digital Product Passport (DPP). The Client remains responsible for the accuracy of "Green Claims" made at the retail level.

Claims and Quality Control

Quality claims must be submitted in writing to comercial@coincalshoes.com within 8 business days of delivery. No returns will be accepted without prior written authorization. Minor variations in leather grain or color shades are considered inherent characteristics of natural materials and do not constitute grounds for claim.

Force Majeure

COINCAL shall not be liable for non-performance resulting from acts of God, strikes, energy grid failures, or extreme weather events that compromise the safety or operation of the industrial unit in Friande.

Data Protection

Processing of business contact data is performed in strict compliance with the GDPR and Portuguese Law 58/2019. Data is stored exclusively for the fulfillment of the commercial contract and legal accounting obligations.

Jurisdiction

This agreement is governed by the Laws of the Republic of Portugal. The parties agree that the Court of Felgueiras (Tribunal de Comarca de Felgueiras) shall have exclusive jurisdiction to settle any dispute or claim arising out of these Terms.
